SURGICAL CARE SETS DEC. 7 DEADLINE FOR TALKS WITH MEDICAL CARE AMERICA

NASHVILLE, Tenn., Nov. 29 /PRNewswire/ -- Surgical Care Affiliates, Inc. (SCA) (NYSE: SCA), today delivered a letter to Medical Care America, Inc. (NYSE: MRX), in which SCA stated it intends to withdraw its merger proposal if Medical Care does not schedule a meeting with SCA by Dec. 7, 1993.
In the letter, Joel Gordon, chairman of SCA, stated, "While we believe in the mutual advantages of a merger of our companies, it would not be fair to our shareholders to maintain the proposed terms of a merger indefinitely." Mr. Gordon advised in the letter that if MCA does not agree by Dec. 7 to schedule a meeting, SCA plans "to issue a release indicating that we are discontinuing our efforts to reach a merger accord."
