SUNDSTRAND AND ROCKWELL INTERNATIONAL TERMINATE NEGOTIATIONS

 ROCKFORD, Ill., April 12 /PRNewswire/ -- Sundstrand Corporation (NYSE: SNS) today reported that it has terminated negotiations with Rockwell International Corporation (NYSE: ROK) for the sale of Sundstrand's Data Control division to Rockwell's Collins Commercial Avionics business. Although Rockwell and Sundstrand had, as previously announced, agreed in principle to a purchase price of approximately $225 million, Sundstrand said that it and Rockwell could not reach a mutually acceptable definitive agreement, and that Sundstrand would pursue its options, including sale to other interested parties.
 Sundstrand Corporation, with 1992 sales of $1,672.7 million, is an international market leader in the design, manufacture and sale of a variety of proprietary, technology-based components and subsystems for aerospace (62 percent of 1992 sales) and industrial (38 percent of 1992 sales) markets. Sundstrand's common stock is listed on the New York, Midwest and Pacific stock exchanges under the symbol "SNS."
