GREENSBURG, Pa., Sept. 9 /PRNewswire/ -- Sulcus Computer Corp. (AMEX: SUL) and JBA Information Systems, Inc., jointly announced the completion of the acquisition by Sulcus of JBA Singapore Ltd. Acquisition of JBA (Hong Kong) Ltd, a sister company, was completed in July. Jeffrey S. Ratner, Sulcus chairman and chief executive officer, and Geoffrey Kung, JBA president, made the announcement jointly today.
Terms of the acquisition call for the payment by Sulcus of $1,450,000 (U.S.) to the shareholders of JBA Singapore Ltd. and JBA (Hong Kong) Ltd. In addition, they will have the opportunity to earn $8,855,800 in non-dilutive Sulcus common shares over a period of three years, based on earnings.
