SOUTHWESTERN BELL CORPORATION AND COX CABLE COMMUNICATIONS FINALIZE U.K. PARTNERSHIP AGREEMENT

 ST. LOUIS, May 4 /PRNewswire/ -- Southwestern Bell Corporation (NYSE: SBC) and Cox Cable Communications today finalized an agreement creating a partnership between the two companies in both cable television and telephone businesses in the United Kingdom. The joint announcement was made by Michael Turner, president of Southwestern Bell International Holdings, Ltd., and Barry R. Elson, senior vice president of operations for Cox Cable.
 The formal agreement follows a March announcement that the companies had signed a memorandum of understanding to form the partnership. Cox will hold an initial 25 percent interest in the cable television/telephony operations owned by Southwestern Bell. Cox has the option of increasing its stake under the agreement.
 A management committee with representatives from both SBC and Cox will be created to oversee the operations. The partnership will manage a franchise area in northwest and central U.K. with more than 1 million homes.
 The network in the U.K. franchises managed by the new partnership passes more than 250,000 homes with a penetration rate of more than 20 percent for both cable television and telephony service.
 Financial terms of the agreement were not disclosed.
 Cox Cable is a division of Atlanta-based Cox Enterprises, Inc., and serves more than 1.7 million customers in 17 states as owner and operator of 24 cable television systems.
 Southwestern Bell International Holdings, Ltd., is a subsidiary of Southwestern Bell Corporation and owns and operates combined cable/telephony businesses in the northwest and Midlands areas of the U.K.
