SOUTHWESTERN BELL ANNOUNCES REORGANIZATION OF TELEPHONE COMPANY

 SAN ANTONIO, Texas, July 2 /PRNewswire/ -- Southwestern Bell Corp. announced today a major reorganization of its telephone company subsidiary. Southwestern Bell Corp.'s Vice Chairman and Chief Financial Officer Robert G. Pope was named president and chief executive officer of Southwestern Bell Telephone Co. He will remain vice chairman of Southwestern Bell Corp. and will report to Edward E. Whitacre Jr., chairman of the board and chief executive officer of Southwestern Bell Corp.
 Pope will direct the restructuring of the telephone company. The existing Southwestern Bell Telephone Company of the Midwest, Southwestern Bell Telephone Company of Texas and Southwestern Bell Services divisions will be combined into two new operating divisions: Customer Services and Network Services.
 Royce S. Caldwell, president of Southwestern Bell Services division was named president of Customer Services for Southwestern Bell Telephone Co. The Customer Services organization will operate through a new concept of market centers. The market centers will enable the company to more closely focus on the needs of customers by creating sales and operating units arranged by geographical service areas or lines of business.
 J. Cliff Eason, president of Southwestern Bell Telephone Company of the Midwest, was appointed president of Network Services for Southwestern Bell Telephone Co. Eason will be responsible for the network organization throughout the telephone company. Both Caldwell and Eason will report to Pope.
 In a further restructuring, William E. Dreyer, president of Southwestern Bell Telephone Company of Texas, was named senior executive vice president-External Affairs for Southwestern Bell Corp. Dreyer will report to Whitacre and will be responsible for all regulatory, legislative and public relations matters for the corporation.
 Cassandra C. Carr, vice president-External Affairs for Southwestern Bell Telephone Company of Texas, was named president-Texas division reporting to Dreyer.
 Donald E. Kiernan, senior vice president-Finance and Treasurer of Southwestern Bell Corp., will assume the additional responsibilities of chief financial officer reporting to Whitacre.
 Edward A. Mueller, senior vice president-Strategic Planning of Southwestern Bell Corp., was appointed to a new position of senior vice president for Southwestern Bell Telephone Co. reporting to Pope. Mueller will be responsible for coordinating the company's reorganization.
 James S. Kahan, senior vice president-Corporate Development of Southwestern Bell Corp., will assume the additional responsibilities of strategic planning for the corporation and will report to Whitacre.
 James R. Adams, group president of Southwestern Bell Corp., will assume responsibility for all cable television operations of Southwestern Bell Corp. and will continue to be responsible for international operations.
 Whitacre said the telecommunications industry continues to change, and SBC will continue to change with it.

 Although all moves are effective immediately, the reorganization of Southwestern Bell Telephone Co. is not expected to be completed for several months.
