SOUTHWESTERN BELL AGREES TO PURCHASE HAUSER COMMUNICATIONS CABLE TV SYSTEMS IN WASHINGTON AREA

 SAN ANTONIO, Texas, Feb. 9 /PRNewswire/ -- Southwestern Bell Corp. (NYSE: SBC) (SBC) announced today an agreement to purchase two major cable TV systems serving the suburbs of Washington from Hauser Communications Inc. (HCI), a privately held company.
 The cable systems -- Montgomery Cablevision Limited Partnership and Arlington Cable Partners -- are located in Montgomery County, Md. and Arlington County, Va. SBC will pay $650 million for the two systems. The transaction is subject to regulatory approval and will not be completed until after July 1993.
 SBC will be the first Bell company to purchase a U.S. cable company.
 Today's joint announcement was made by Edward E. Whitacre, chairman and chief executive officer of SBC, and Gustave M. Hauser, chairman and chief executive officer of HCI.
 "This investment is in the right industry, in the right place and at the right time," Whitacre said. "Cable TV is an attractive business that fits well with our core strengths of designing and maintaining high-quality networks.
 "These properties are two of the most outstanding cable television systems in the country," he said. "They have excellent household demographics and good prospects for growth. They're well-managed, well- maintained systems and we are committed to continue the high-quality service which they provide to their subscribers and communities."
 Hauser said, "We are proud to be a part of this landmark transaction in which two of the jewels of the cable television industry will be acquired by one of America's largest and most respected companies. Southwestern Bell's record of leadership, obvious telecommunications experience and considerable resources augur well for the inevitable expansion of these systems into offering many new services we and others foresee as the future of the cable television industry.
 "We feel confident that our subscribers and the well-known communities we are privileged to serve will benefit from this transaction," Hauser said.
 SBC owns and operates cable TV systems in the United Kingdom, and has interests in cable TV systems in Israel. Together, these systems' service areas include more than 1.6 million homes.
 "This investment expands our holdings in a growing industry that's capable of providing customers with a wide variety of education, entertainment and multimedia services," Whitacre said. "It's an exciting time for the U.S. cable industry and we're glad to be a part of it."
 Whitacre said the investment's impact on SBC's earnings will be minimal and that it should provide long-term value to SBC shareowners.
 Cable legislation passed by Congress in 1984 restricts SBC and other companies that provide local exchange telephone service from also providing video programming in their operating areas. Southwestern Bell Telephone serves Arkansas, Kansas, Missouri, Oklahoma and Texas.
 The Washington market isn't new to SBC. The company's Cellular One unit provides cellular telephone service throughout the area.
 SBC is an international communications company with more than 11 million customers, about 60,000 employees and 1 million shareowners.
