SMITH'S FOOD & DRUG CENTERS INC. FILES $300 MILLION SHELF OFFERING OF PASS THROUGH CERTIFICATES

 SALT LAKE CITY, Nov. 19 /PRNewswire/ -- Smith's Food & Drug Centers Inc. (NYSE: SFD) announced today that it has filed with the Securities and Exchange Commission a shelf registration statement for the public offering of $300 million aggregate principal amount of Pass Through Certificates.
 Securities may be sold under the registration statement in one or more public offerings contemplated to occur over the next two years. Proceeds from any offering would be used to finance real estate in the company's continuing expansion program.
 Smith's Food & Drug Centers Inc. operates 124 large combination food and drug centers in eight western states.
 A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This announcement shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
