 MOUNTAIN VIEW, Calif., May 13 /PRNewswire/ -- Silicon Graphics


Inc. (NYSE: SGI) announced that it had filed a shelf registration statement with the Securities and Exchange Commission covering the sale of from 3.8 million to 5.1 million shares of common stock. As previously announced, the sale of the shares will be required in order to obtain pooling of interests accounting treatment for the pending merger between Silicon Graphics and MIPS Computer Systems Inc. (NASDAQ: MIPS)
 The shares will be sold in one or more privately negotiated transactions and/or in a public offering. The closing of any sale of the shares will be subject to the satisfaction of all conditions to the merger. Morgan Stanley & Co. Inc. and Unterberg Harris will act as managing underwriters of any underwritten offering under the registration statement.

The company delivers three-dimensional graphics, color, audio, video and real-time technologies to the technical, scientific and creative computing marketplace.
