SERVICE CORPORATION INTERNATIONAL COMPLETES AMERICAN FUNERAL MERGER

 HOUSTON, Dec. 22 /PRNewswire/ -- Service Corporation International (SCI) (NYSE: SRV) announced today it has completed its previously announced acquisition of American Funeral Services Corporation (NASDAQ: AMFS). The announcement followed a meeting of AMFS shareholders earlier today in which AMFS shareholders voted overwhelmingly in favor of the merger.
 R.L. Waltrip, SCI's chairman said, "SCI's service clusters in Florida, Alabama, and Tennessee will receive significant incremental contributions from American Funeral's firms, and this transaction will open up new areas of opportunity for SCI in the Austin, Texas area. We are pleased to report the consummation of this important merger." AMFS operations consist of seven funeral homes, seven cemeteries, and three funeral home/cemetery combinations in Texas, Tennessee, Alabama and Florida. These firms are expected to contribute more than $34 million in additional 1993 revenues for SCI.
 Service Corporation International is the largest owner and operator of funeral homes and cemeteries in the world. The completion of the AMFS merger increases the number of SCI's operating locations to 674 funeral homes and 178 cemeteries in 39 states, the District of Columbia and four Canadian provinces. SCI'stock is traded on the New York Stock Exchange. The company's ticker symbol is SRV.
