SCT SIGNS AGREEMENT WITH D&B SOFTWARE TO ACQUIRE INFORMATION ASSOCIATES
 MALVERN, Pa., May 4 /PRNewswire/ -- Systems & Computer Technology Corporation (SCT) (NASDAQ: SCTC) and Dun & Bradstreet Software (D&B Software) announced today that they have entered into a definitive agreement whereby SCT will acquire D&B Software's subsidiary, Information Associates, Inc. (IA) of Rochester, N.Y., for $22.5 million.
 IA is a leading supplier of administrative software to the higher education market and had 1991 revenues of approximately $30 million, with maintenance revenues of more than $12 million. The transaction, which will be accounted for as a purchase, will be financed from internal funds and bank financing, to which the transaction is subject.
 IA has an installed base of more than 500 colleges and universities with 430 clients on maintenance agreements. It serves both the Digital Equipment Corp. and IBM markets with a full range of administrative software systems, including Student; Finance; Financial Aid; Human Resources; and Alumni. Founded in 1968, IA employs a combined total of 230 professionals located at its Rochester headquarters and in sales and service offices in San Diego, Dallas and Reston, Va.

Emmi, SCT's chairman and chief executive officer. "We fully expect that this acquisition will present us with new opportunities for expansion and growth -- in both the software and computing management environments."

 The acquisition, which is subject to the approval of the board of directors of The Dun & Bradstreet Corporation and other customary conditions, is expected to be consummated by June 30, 1992.
