SCT FILES REGISTRATION STATEMENT

 MALVERN, Pa., July 14 /PRNewswire/ -- Systems & Computer Technology Corporation (NASDAQ: SCTC) today announced it has filed a registration statement with the Securities and Exchange Commission for the issuance of $25 million principal amount of Convertible Subordinated Debentures due 2003, plus an additional $3.75 million subject to the underwriters' over allotment option.
 The debentures will be convertible by the holders into shares of the company's common stock. Unterberg Harris and Kemper Securities, Inc. have been designated as co-managing underwriters for the offering.
 The net proceeds of the offering, anticipated to aggregate $23.7 million ($27.3 million if the over-allotment option is exercised in full), are currently expected to be used to repay all of the company's long-term debt ($15.7 million at July 13) and for general corporate purposes including possible future acquisitions.
 The company is a leading provider of facilities management services and administrative application software in the U.S. higher education and local government markets, and the company has recently introduced a new product for


the utility market.
