SCRIPT SYSTEMS DISSIDENT SHAREHOLDERS' APPLICATION REJECTED

SCRIPT SYSTEMS DISSIDENT SHAREHOLDERS' APPLICATION REJECTED
HACKENSACK, N.J., Dec. 4 /PRNewswire/ -- An application by a dissident group of shareholders for an injunction with respect to the annual meeting of Script Systems, Inc. (NASDAQ: SCPT) was rejected by Judge H. Lee Sarokin of the U.S. District Court in Newark, N.J., after a hearing held last evening.
The dissidents sought to prevent the holders of the newly issued preferred shares from exercising their super voting rights consisting of 16 votes per share, and also sought to establish a record date for the meeting on a date prior to Nov. 21, the date when the preferred shares were issued. The court held that the dissident group had failed to set forth a case to warrant the issuance of a preliminary injunction.
Assuming that proxy materials can be cleared through the SEC in sufficient time, the shareholders' meeting will be held on Dec. 19 as scheduled.
