SCOTT MARDEN NAMED PRESIDENT OF PHILIPS SOFTWARE

 NEW YORK, March 8 /PRNewswire/ -- Scott Marden has been named president of a newly established business group, Philips Software. This announcement was made today by Jan Timmer, president and CEO of Philips Electronics NV, which is headquartered in the Netherlands.
 In this new position, initially to be based New York, Mr. Marden will oversee Philips interests in the software area, excluding its involvement in PolyGram NV. These activities include the company's worldwide hardware and software in the Compact Disc Interactive and its cable distribution business in Europe. He will also oversee the various participations of Philips in the field of software and multi-media distribution and services. Philips Software will be part of the
Consumer Electronics Division of Philips NV. Mr. Marden will report to a board of directors comprised of Henk Bodt, CEO of the Consumer Electronics Division of Philips NV, Pierre Everaert, and Alain Levy, president and CEO of PolyGram International. All three are members of the group management committee.
 Said Mr. Timmer upon making the announcement: "Philips has repeatedly stated that its software interests are an important part of its assets; the coherent management of these activities is paramount to our strategy. I'm sure an executive of Scott Marden's stature will provide effective coordination of our business and that a suitable long- term strategy will be developed."
 Commented Mr. Marden of his new position: "Despite the confusion surrounding the rapidly changing face of the media industry, there are three trends about which the experts agree: media will be more personal, more digital and more interactive. The ongoing convergence of various programming formats, distribution systems, and equipment all create a demand for new types of software for both the consumer and professional markets. Philips intends to capitalize on these trends The opportunity to personally play a part in this growth industry, by coordinating Philips' activities is tremendously exciting. The timing for centralizing the company's activities couldn't be better."
 Prior to joining Philips, Mr. Marden was a senior managing director at Bear, Stearns & Co. Inc., where he was responsible for the firm's media and entertainment investment banking practice. Mr. Marden also served as a member of the policy making group responsible for international investment banking activities. Prior to Bear, Stearns, Mr. Marden served as managing director and head of the media and entertainment investment banking practices at Wertheim Schroder & Co., Inc., and before that, he held the same position at Bankers Trust Company. At these firms, over the past seven years, Mr. Marden has served as advisor to numerous companies, including: McGraw-Hill, Inc., MacMillan Inc., Official Airline Guides, Dun & Bradstreet, Time Warner, News Corporation, CBS, Tribune Broadcasting, COMCAST, Hallmark, Financial News Network, and Rank Organization. Prior to his investment banking career, he served as president of the International Publishing Division of CBS Inc., where he had previously served as planning officer for the CBS Columbia and CBS Publishing Groups.
 Mr. Marden holds a M.A. from the University of Chicago in international policy, organization and economics as well as a B.A. in communications and mathematics from Fordham University.
