SCIENTIFIC-ATLANTA ANNOUNCES MANAGEMENT CHANGES

 ATLANTA, Dec. 15 /PRNewswire/ -- Scientific-Atlanta, Inc. (NYSE: SFA) announced today that William E. Johnson has resigned as chief executive officer and director.
 Its board of directors appointed James V. Napier, the company's chairman, as interim chief executive officer to succeed Johnson. Napier, a member of the board of Scientific-Atlanta since 1978, was formerly president and chief executive officer of Contel Corporation, a diversified telecommunications company. Napier's extensive experience will ensure continuity of Scientific-Atlanta's forward strategy, the board indicated. The board also announced that a formal search would be made for a permanent chief executive officer, considering both internal and external candidates.
 Napier announced the immediate formation of an Office of the Chairman, consisting of Scientific-Atlanta's three senior group executives, the chief financial officer and himself, to coordinate the management of the company. This senior team will consist of Jack F. Acker, 46, senior vice president and president of the Network Systems Group; John E. Breyer, 58, senior vice president and president of the Instrumentation Group; Kenneth V. Jaeggi, 46, senior vice president and chief financial officer; and Jay Levergood, 58, who is returning to the company as senior vice president and president of the Broadband Communications Group. Levergood was with Scientific-Atlanta for 18-1/2 years and last served as president prior to his retirement in 1989.
