SCHERER HEALTHCARE ANNOUNCES SALE OF ATKINS DIVISION TO ISOLYSER CORPORATION

ATLANTA, March 30 /PRNewswire/ -- Scherer Healthcare, Inc. (NASDAQ: SCHR) said it sold the business and subsequently all of the assets of Charles Atkins & Co., Ltd., which operates as Atkins Healthcare Services, to Isolyser Corporation.
Atkins, which was 51 percent owned by Scherer, is primarily involved in the assembly and distribution of specialized surgical procedural trays and packs. Operating assets sold, net of liabilities assumed by the purchaser, resulted in proceeds of approximately $2,850,000 including a $1,287,500 note receivable from the purchaser. Scherer will reflect a pre-tax gain of approximately $1 million on the transaction.
For the nine months ended Dec. 31, 1992, Atkins accounted for $3,235,000 of Scherer's $15,840,000 sales and had an operating loss of $135,000. For the fiscal year ended March 31, 1992, Atkins' sales were approximately $4,800,000.
Robert D. Tucker, chairman of Scherer Healthcare, stated, "We believe the changing nature of this market segment made this an opportune time to sell this business. As part of Isolyser, Atkins can take advantage of certain synergies which appear to exist."
