SCA STUDYING ALTERNATIVES

NASHVILLE, Tenn., Oct. 29 /PRNewswire/ -- Surgical Care Affiliates, Inc. (NYSE: SCA) confirmed today its receipt of a letter from Donald Steen, President and Chief Executive Officer of Medical Care America, stating that Medical Care was unwilling to pursue SCA's recently announced merger proposal.
Joel C. Gordon, Chairman and Chief Executive Officer of SCA, said: "We are disappointed by Medical Care's refusal to even discuss a possible combination of our companies. We do not understand how Medical Care can reject our merger proposal without any hearing."
Mr. Gordon continued: "We are convinced that our proposal offers great value to Medical Care's shareholders. We hope that Medical Care will give prompt, fair consideration of our proposal and will not use their planned strategic review as a delaying tactic that would deprive their shareholders of the premium value and long-term benefits of our proposal."
Mr. Gordon added: "We will continue to review our alternatives."
