SARA LEE CORPORATION TO ACQUIRE SMITHKLINE BEECHAM'S BATH AND BODY CARE BUSINESSES

 CHICAGO, June 9 /PRNewswire/ -- Sara Lee Corporation (NYSE: SLE) today announced that it has signed an agreement to acquire the predominantly European bath and body care businesses of SmithKline Beecham for $320 million (211 million pounds sterling). The transaction is expected to be completed in July.
 The acquisition involves leading bath and body care brands including Duschdas bath and shower products in Germany; Badedas bath and shower products in Italy; Fissan baby-care products in Germany and Italy; Brylcreem men's toiletries in the United Kingdom; and Williams men's toiletries in France. Sales for these businesses were approximately $248 million (164 million pounds) for the year ended Dec. 31, 1992. These operations have 1,100 employees and five production facilities throughout Europe.
 "This acquisition will significantly expand Sara Lee's European personal care business, providing us with a strong entree into Germany. It also offers us an important addition to our current operations in the U.K., France and Italy," said Cornelis Boonstra, executive vice president of Sara Lee Corporation. "The acquisition also is consistent with our strategy of building personal care positions worldwide."
 SmithKline Beecham's Spanish bath and body care businesses are excluded from the deal as are its operations in the United States, Canada, Puerto Rico and Latin America.
 The businesses acquired by Sara Lee Corporation will be integrated into the corporation's household and personal care line of business and managed by Sara Lee/DE from its divisional headquarters in Utrecht, the Netherlands.
 Sara Lee's household and personal care businesses had sales of $1.2 billion in fiscal 1992. Its core product categories include shoe-care, skin-care, oral-care and baby-care products, as well as insecticides, air fresheners and specialty laundry detergents. Some of Sara Lee's major brands in Europe are Kiwi, Sanex, Zendium, Prodent, Zwitsal, Catch, Vapona, Bloom, Ambi-Pur and Biotex.
