SARA LEE CORPORATION AND BP NUTRITION ANNOUNCE NEGOTIATIONS

 CHICAGO, Nov. 24 ~PRNewswire~ -- Sara Lee Corporation (NYSE: SLE) today announced it has been granted exclusive rights to negotiate for the acquisition of BP Nutrition's Consumer Food Group. Sara Lee and BP expect to reach an agreement by the end of the year.
 Based in Bunnik, the Netherlands, BP Nutrition's Consumer Food Group manufactures and markets packaged meat products such as cooked sausage, salami and ham. The brands marketed by BP Nutrition's Consumer Food Group include Stegeman and Boers in the Netherlands, Dacor in Belgium, Argal in Spain and Nobre in Portugal.
 "The acquisition of BP Nutrition's Consumer Food Group would represent Sara Lee's first investment in the European meat industry, which holds significant brand development opportunities," said C. Steven McMillan, senior vice president of Sara Lee Corporation, who is responsible for Sara Lee's packaged meats and bakery business worldwide. "This potential acquisition also is in keeping with Sara Lee's global expansion strategy."
 Sara Lee, with annual sales of $13.2 billion, is a leader in the U.S. packaged meats industry with sales of approximately $2.7 billion for the year ended June 1992. The corporation holds leading positions in a variety of U.S. packaged meats categories including sausage, hot dogs and sliced luncheon meats. Sara Lee's national U.S. brands include Jimmy Dean, Hillshire Farm and Ball Park, while regional U.S. packaged meats brands include Kahn's, Bryan and Galileo.
 BP Nutrition's Consumer Food Group sells its products primarily through large supermarkets and independent grocery and butcher shops. BP Nutrition's Consumer Food Group has 2,300 employees and reported annual sales of Dfl. 625 million (approximately $340 million) for the year ended December 1991.
