SAMSUNG AND TEXAS INSTRUMENTS SIGN LETTER OF INTENT FOR JOINT AGREEMENT IN TI PORTUGAL

SEOUL, Korea, Dec. 16 /PRNewswire/ -- Samsung Electronics Co. and Texas Instruments Incorporated (NYSE: TXN) today announced the signing of a letter of intent for a multi-million dollar manufacturing investment in TI's semiconductor and test plant in Porto, Portugal. Maintaining the present workforce, both companies will use the plant to assemble and test their own integrated circuits.
The Porto facility is currently used to assemble and test high- volume linear and general purpose logic integrated circuits. The two companies would establish assembly and test production lines for dynamic random access memories (DRAM) and advanced logic products.
The planned agreement, which includes capacity and capital upgrades, is expected to be eligible to qualify for some level of subsidy from the Portuguese government.
 H. G. Kim, senior executive managing director of Samsung Electronics in Korea, commented, "This joint investment could be a concrete cornerstone for the strategic cooperations between our two companies. Samsung will be able to supply very advanced high-quality DRAMs to its European customers from its European production site."
"This investment is a win-win situation for both parties," said Roberto Schisano, president of TI Europe. "Samsung gains access to a recognized, high-quality manufacturing facility, while increasing our ratio of higher performance, higher added value components that help our European and worldwide customers differentiate their end-equipment products."
Operations are set to begin in the second half of 1993.
The proposed investment is subject to the parties' agreement on the necessary contract, which requires the approval of the respective boards of directors. The companies must also successfully complete discussions with the Portuguese government regarding the financing conditions within the framework of existing subsidy laws. It is also expected that the contract will be submitted to the EC and the Korean government for approval.
TI Portugal, established in 1973, currently employs about 800 people. The company recently received the first Portuguese National Quality Award from the Minister of Industry and Energy.
