SAIC ANNOUNCES NEW COMPANY

 McLEAN, Va., Dec. 11 /PRNewswire/ -- Science Applications International Corp. (SAIC) announces the formation of Energy and Technology Management Corp. (ETM). ETM is a proxy company specifically chartered to provide diversified technical, management and administrative support service to offices within the headquarters organizations of the U.S. Department of Energy (DOE) and other federal agencies.
 The move results from SAIC's success in winning technical support contracts for both DOE headquarters and field offices. In order to avert any appearance of conflict of interest, SAIC will transfer to ETM many of its DOE HQ support contracts and staff. Although the effect of the transfer on technical support services will be minimal, it will avoid any conflicts including even the appearance of any conflicts. The transition will begin later this month.
 As a proxy company, SAIC has divested itself of control of ETM to proxy holders who are not affiliated with and who are independent of SAIC. SAIC does not have the power to exercise any direct or indirect controls over ETM's daily operations.
 ETM will operate as a diversified professional and technical services firm, providing systems engineering, technical and management assistance, advanced studies and customized information systems to a variety of government and commercial clients.
 Named as president is Dr. David C. Aldrich, formerly manager of SAIC's Energy Systems Group, who had been with SAIC since 1984. ETM executive vice president will be Dr. Joseph F. Tinney. The company will be headquartered in Germantown, Md. At the end of a three-month transition period, ETM will have about 300 employees.
