Bogart, GA 8/1/02 -- Roper Industries has acquired three businesses
with total sales of $60 million for approximately $63 million. It
acquired UK-based Ai Cambridge Ltd., known as Ai Qualitek, which
manufactures and sells leak detection equipment and systems for the
pharmaceutical, food, medical, packaging and automotive industries.
Roper expects the company to post sales of $9 million in its first year
under new ownership. Roper also purchased Duncan Technologies, a
manufacturer of digital cameras for machine vision, remote sensing and
traffic monitoring. Qualitek and Duncan will join Roper's
Analytical Instrumentation segment. Adding to its Industrial Controls
segment, Roper purchased Zetec, which sells non-destructive inspection
solutions and consumables using eddy current technology, for $26 million
in cash and $30 million in assumed debt. In its first year with Roper,
Roper forecasts revenues of $50 million for Zetec.
Ai Qualitek sells hand-held trace gas detectors, pressure decay and
flow measurement detectors, package leak detectors, gas chromatographs,
and accessories. It has a subsidiary in the US, iTi Qualitek, and in
Germany, Meltron Qualitek. It is the UK distributor for OI Corp.
products, Varian's helium trace gas detectors, and QuadTek
electrical safety testers. Seventy-five percent of its sales are in
Europe. Roper views this acquisition as a strategic fit with its Uson
leak test business.
