 RYAN-MURPHY, INC. ACQUIRES RIGHTS TO GOOD EARTH MACHINE
 DENVER, March 11 /PRNewswire/ -- Ryan-Murphy, Inc. (NASDAQ: RMII)


today announced that it purchased Robert B. Barcell's rights titles and interests in the Good Earth Machine (GEM), the portable rotary kiln soil remediation machine. The company said it acquired all patents, applications, tradenames, trademarks, processes and designs associated with the machine in its existing applications.
 Management announced that in return, Barcell received $1.1 million and 1 million shares of restricted common stock, which he can require the company to register within the next two years. "The agreement gives Mr. Barcell not only the compensation for his tremendous contribution, but also the stock incentive to increase sales and bottom line profits of the Good Earth Division," explained Robert Jennings, president. "It was in the best interest of the company, as Ryan-Murphy, Inc. paid Mr. Barcell more than $450,000 in royalties in the fiscal year ended January 1991, and estimated royalties of more than $575,000 in fiscal 1992." The company also has an agreement with Mr. Barcell, on an exclusive basis, to conduct research and development for a second generation technology. However, the company has not decided to go forward with the research at this time. Such research would consist of the development of thermal remediation of chlorinated and fluorinated hydrocarbons, creosote, crude and coal tar. If the company decides to proceed and Barcell successfully develops this new technology for the company, additional remuneration would be paid.
 With revenues increasing from $3.3 million in fiscal 1989 to $11.5 million in fiscal 1991, Ryan-Murphy, Inc. provides an expanding range of environmental services including:
 -- Underground storage tank removal and installation;
 -- On-site soil remediation with its Good Earth Machine (GEM); and
 -- Investigation and remedial action consulting with its growing staff of geological, civil and mechanical engineers.
 Ryan-Murphy Common Stock is traded under the NASDAQ symbol RMII.
