 RONIN'S CONSENT SOLICITATION DEFECTIVE
 SAN ANTONIO, Texas, May 6 /PRNewswire/ -- La Quinta Motor Inns


Limited Partnership (NYSE: LQP) reported that no meeting of limited partners was planned or expected to be called as a result of the recent consent solicitation by Ronin Partners, a Connecticut-based partnership controlled by Philip Nappo, and that it has sent a letter so stating to Ronin Partners. "Despite Ronin Partners' false and misleading claims, we believe they have been unable, after more than three months of trying, to convince a sufficient number of limited partners to sign valid consents," stated Alan L. Tallis, president of La Quinta Realty Corp., general partner of the Partnership. Challenging the validity of each particular consent, however, was not necessary because Ronin Partners failed to deliver the consents to the Partnership within the time period required by Delaware law. "While we continue to be very disturbed by Ronin's false statements and claims, we are very pleased that our investors are not responding to Mr. Nappo's ploy. Contrary to the implications of their public statements, neither Ronin Partners nor Mr. Nappo has the authority to call a meeting or to change the management of the Partnership's inns."
 The Partnership also announced the regular quarterly distribution of $0.20 per Unit payable on June 5, 1992 to Unitholders of record as of May 29, 1992. "As previously reported, our operating income increased 9.3 percent from the first quarter of 1991, which we believe indicates our efforts to reduce costs have been effective despite the increased costs to the Partnership resulting from Mr. Nappo's actions," Tallis said.
 The Partnership also announced that Alan L. Tallis has delivered his resignation from his position as president of the Partnership's general partner, La Quinta Realty Corp. Tallis' resignation will be effective July 1, 1992. Tallis noted, "I look forward to my continued involvement on the board of La Quinta Realty and continued service to the Unitholders as I pursue other interests." Commenting on the resignation, Gary L. Mead, president of La Quinta Motor Inns, Inc., the parent company of La Quinta Realty Corp., stated, "Alan has been with La Quinta 11 years. We are pleased, however, that Alan will continue to assist us as an independent consultant and remain as a director of La Quinta Realty Corp." In addition, the Partnership also announced that Mead had been elected to the board of directors of La Quinta Realty Corp. The Partnership believes that the addition of Mead to the board of directors of La Quinta Realty Corp. will provide additional experience and expertise to the board.
 La Quinta Motor Inns Limited Partnership owns 31 La Quinta Inns and 20 restaurants in 15 states.
