ROHR CHAIRMAN, CHIEF EXECUTIVE OFFICER ANNOUNCES RETIREMENT

 CHULA VISTA, Calif., Jan. 7 /PRNewswire/ -- Rohr (NYSE: RHR) announced today that Robert H. Goldsmith, its chairman and chief executive officer, advised the board that he has determined to take early retirement and was resigning as chairman and chief executive officer. Goldsmith will remain as a director until his term expires in December.
 The board elected James J. Kerley, currently a director of the company, as interim chairman and chief executive officer, and formed a board committee to conduct a search to find a successor to Goldsmith as promptly as possible. Goldsmith advised the board that he wanted to assist the company in the transition. Goldsmith stated: "Having an orderly succession process has always been one of my goals. We have been searching for a President since early 1992, and I decided we could attract the best qualified individual if the positions of chairman and chief executive officer were open immediately. Accordingly, I decided to step aside, in advance, rather than continue on while a new person began taking over my responsibilities." In this connection, it is expected that Goldsmith will consult with the company for a six-month period.
 Goldsmith, who will be 63 years of age in May, has been at Rohr for nine years. Since January 1990, he has served as chairman and chief executive officer of the company.
 Kerley, who will relocate to the San Diego area on a temporary basis, has been on the company's board since 1976 and, in terms of service, is the second longest-serving member of the board. Kerley was formerly vice chairman and chief financial officer of Emerson Electric Co., and chief financial officer of TransWorld Airlines and the Monsanto Company. Kerley has also served as a director of TransWorld Airlines, GenCorp, Emerson Electric Company, ESCO Electronics, World Airways, and Frontier Airlines.
 Rohr designs, integrates, manufactures and supports engine nacelle systems and components for commercial, military and business aircraft. The company also manufactures solid rocket motor casings and nozzles for the Titan IV launch vehicles. Rohr, headquartered in Chula Vista has facilities in the United States and Europe.
