ROHM AND HAAS TO INCREASE OWNERSHIP IN JAPANESE JOINT VENTURE
PHILADELPHIA, May 29 /PRNewswire/ -- Rohm and Haas Company (NYSE: ROH) announced today it has reached an agreement with its partners to restructure its joint venture in Japan.
Japan Acrylic Chemical Company Ltd. (Jacryl) manufactures and sells acrylic emulsions and oil additives for the Japanese market. Rohm and Haas, the Toagosei Chemical Industry Co., Ltd. and Sanyo Trading Co. Ltd. have been partners in the venture for 30 years.
Rohm and Haas, which currently owns 47.5 percent of Jacryl, will purchase 178,000 shares from Toagosei Chemical to increase its holding to 67 percent. The transaction should be completed by the end of June.
"We have always valued our relationship with our partners and we will continue to rely on their advice and guidance," says William A. Kulik, vice president and director of the Pacific region for Rohm and Haas. He explained that gaining management control of Jacryl will help the company consolidate its presence in Japan and help it meet increasing demand for emulsion products and oil additives.
The transaction will not affect Jacryl operations. Jacryl will continue to make acrylic emulsions used to make paints, paper coatings, textile finishes, adhesives, leather and non-woven products. Oil additives made by Jacryl are used in motor and gear oils and in hydraulic fluids.
In addition to the Jacryl operation, Rohm and Haas has a well- established subsidiary based in Tokyo which markets company products. Within the past 18 months, the company also has broken ground for a research and customer support facility in Washinomiya and a new manufacturing plant in Sohma, Japan. Financial terms of the transaction were not disclosed.
