 ROCHESTER TEL TO ACQUIRE 2ND TELEPHONE COMPANY IN GEORGIA
 ROCHESTER, N.Y., Feb. 18 /PRNewswire/ -- Rochester Telephone Corp. (NYSE: RTC) announced today that it has reached an agreement to acquire the Statesboro Telephone Company of Statesboro, Georgia. Statesboro Telephone will become Rochester Tel's second operating telephone company in Georgia and its 38th telephone company nationwide.
 Statesboro serves 15,340 access lines in a 110 square mile territory in Bulloch County and is 220 miles southeast of Rochester Tel's other Georgia subsidiary, Fairmount Telephone Company. Statesboro also has a minority interest in Georgia's cellular Rural Service Area No. 8.
 In announcing the proposed acquisition, John Purcell, president of telephone subsidiaries, said: "Statesboro is a well-managed company with a strong commitment to service. It serves an attractive and economically strong community with strategic importance to Rochester Tel's goal of diversifying outside our New York base.
 "Statesboro also represents an excellent fit with our existing telephone properties in Georgia, Alabama, Florida and Mississippi."
 Harry S. Mathews, president of Statesboro Telephone, said, "Rochester Tel's record of maintaining the local identity and employee base of its subsidiaries was a major factor in the sale."
 According to the terms of the agreement, Rochester Tel will exchange shares of its common stock for all the outstanding stock of Statesboro. No purchase price was disclosed.
 The purchase is subject to the approval of certain regulatory agencies and other contingencies. The transaction is expected to be completed by mid-year.
 Rochester Telephone Corp., with headquarters in Rochester, New York, owns and operates 37 telephone companies in 15 states serving 853,000 access lines. The Statesboro transaction will result in 868,000 access lines in 15 states, with nearly 17,000 in the state of Georgia.
 Rochester Telephone's principal operating territory is a six-county area in western-central New York. It also operates three unregulated subsidiaries: RCI Long Distance, a regional interexchange carrier; Rotelcom Network Systems, which provides competitive telecommunications equipment and services; and Rochester Tel Mobile Communications, which manages its cellular interests.
