ROBERT H. LESSIN TO BECOME SMITH BARNEY VICE CHAIRMAN, HEAD OF INVESTMENT BANKING

 NEW YORK, June 28 /PRNewswire/ -- Smith Barney, Harris Upham & Co. today announced the appointment of Robert H. Lessin as vice chairman and head of Investment Banking succeeding Lewis L. Glucksman, who will become senior advisor to the firm. Mr. Lessin joins Smith Barney from Morgan Stanley & Co., Inc., where he was a managing director in the Investment Banking Division.
 Robert F. Greenhill, chairman and chief executive officer of Smith Barney, said, "This is a major first step in establishing an investment banking capability equal in power to the incredible retail distribution system that will be formed with the combination of Smith Barney and Shearson. I am delighted that Bob has chosen to join us, both because he is an exceptionally gifted and accomplished professional and because he is a great friend and a longtime colleague. He will contribute significantly to our effort to build Smith Barney Shearson into the preeminent global investment banking and securities firm."
 (The merger of Smith Barney and the retail brokerage and asset management businesses of Shearson Lehman Brothers, Inc. is scheduled to be completed in mid-summer.)

 Mr. Lessin, 38, began his career with Morgan Stanley in 1978 and was elected managing director in 1987. Most recently, he headed the firm's Financial Entrepreneur, Retail and Media Groups within the corporate finance department. Mr. Lessin is a 1976 graduate of Harvard College, with degrees in economics and applied physics. He received a Masters' degree from Harvard Business School in 1978. Upon graduation, he joined Morgan Stanley in the Mergers and Acquisitions Department. In 1983 he formed the European Mergers and Acquisitions Group based in London, which he headed through 1985. From 1985 to 1990, Mr. Lessin ran the Worldwide Transaction Development Group.
 Mr. Lessin resides in Englewood, N.J., with his wife and three children.
