ROADWAY SERVICES, INC. AND CENTRAL FREIGHT LINES INC. COMPLETE MERGER AGREEMENT

 WACO, Texas, April 6 /PRNewswire/ -- Roadway Services, Inc. (NASDAQ: ROAD) and Central Freight Lines Inc. announced today that the merger between Central and a wholly owned subsidiary of Roadway Services has been completed. Officials of Roadway Services and Central met at Central's headquarters in Waco, Texas today to complete the transaction.
 The total purchase price in the merger is approximately $102 million.
 The shares of Central acquired by Roadway Services will be held in a voting trust pending approval by the Interstate Commerce Commission of the acquisition.
 Central, the largest intrastate carrier in Texas, will retain its identity and continue to operate as a separate subsidiary of Roadway Services.
 Roadway Services also owns Roadway Express, Inc., one of the nation's largest motor carriers; Roadway Package System, Inc., serving shippers in the small package market; Viking Freight, Inc., Spartan Express, Inc., and Coles Express, Inc., serving the Western region, Central and Southern regions, and New England region, respectively; Roberts Express, a critical shipment carrier; and Roadway Logistics Systems, Inc., which provides contract logistics services.
