ROADMASTER SIGNS AGREEMENT TO ACQUIRE FLEXIBLE FLYER

 ENGLEWOOD, Colo., June 25 /PRNewswire/ -- Roadmaster Industries Inc. ("RMI" or the "company") (AMEX: RDM) announced today it had signed an agreement to acquire substantially all of the assets and business of the Flexible Flyer Co. ("FFC"), a division of Par IndustrM?edina, Ohio.
 FFC specializes in the manufacture of bulk children's toys, including play gym sets, hobby horses, rotational molded plastic toys, wood and steel sleds, and plastic snow toys which are marketed primarily under the "Flexible Flyer" brand name. The company's origins date back to 1889. The company's fiscal year 1992 revenues were in the range of approximately $40 million.
 The company said the purchase price consists of a combination of cash, debt assumption and issuance of RMI common stock. It is expected that this transaction will close during September 1993, subject to fulfillment of a number of conditions, including expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.
 Roadmaster Industries operates through its two wholly owned subsidiaries, Roadmaster Corp. ("Roadmaster") and Hamilton Lamp Corp. ("Hamilton") as well as its majority-owned subsidiary, International Sports and Fitness Inc. ("International"). Roadmaster is a leading designer and manufacturer of Roadmaster(R) junior products including, Roadmaster(R) PlaySafe(TM) swing sets, Roadmaster(R) bicycles and Vitamaster(R) fitness equipment. Hamilton is a leading manufacturer of lamps including children's lighting products and replacement lamp shades. International, through its wholly owned subsidiary, Roadmaster Leisure Inc., markets and distributes a broad range of sporting goods and recreational products, including Roadmaster products, in Canada.
