ROADMASTER COMPLETES FLEXIBLE FLYER ACQUISITION

 ENGLEWOOD, Colo., Sept. 16 /PRNewswire/ -- Roadmaster Industries Inc. ("RMI" or the "company") (AMEX: RDM) announced today it has closed its acquisition of the operating business and applicable assets of the Flexible Flyer Co. ("FFC"), a division of Par Industries Inc., Medina, Ohio. The company also acquired all of the outstanding capital stock of Flexible Flyer Europe, Ltd. ("FFEL") a United Kingdom limited entity.
 FFC is a leading domestic manufacturer and distributor of junior products including swing sets, hobby horses, bulk plastic toys, wood and steel sleds and plastic snow toys primarily marketed under the "Flexible Flyer(R)" brand name. Flexible Flyer's beginnings date back to 1889, when S.L. Allen Co. produced the original Flexible Flyer sleds. Flexible Flyer's 1992 sales for all products totaled $42.1 million. Flexible Flyer's products are marketed in Europe through FFEL. As the result of this acquisition, RMI will become the market leader in metal swing sets, traditional steel and wooden sleds and hobby horses.
 According to the company, the assets were purchased for $24.4 million consisting of cash, assumption of liabilities and issuance of 617,165 shares of RMI common stock valued at $2 million.
 "Our plan is to balance Flexible Flyer's strong spring position in swing sets with counter seasonal production during the fall using some of our fitness categories," said Ed Shake, Roadmaster Corp. president.
 "This is an exciting opportunity," commented RMI president, Henry Fong. "Our long term plans call for significant growth in the junior product categories and Flexible Flyer is a strategic step in that direction. The present demographics support the growth opportunities.
 "FFEL gives us an infrastructure for RMI's overall marketing plans in Europe," continued Fong. "The recent European Community action imposing anti-dumping duties of 30.6 percent on Chinese bicycle imports creates a level playing field for us. We look forward to entering this growth market."
