 RINGSIDE INTERNATIONAL CHANGES STATE OF INCORPORATION TO DELAWARE
 ROGERS, Texas, June 25 /PRNewswire/ -- Ringside International (OTC: RDIT) today issued the following statement:
 Please be advised that the Corporation's board of directors has elected to change the corporation's state of incorporation from the state of Florida to the state of Delaware. The foregoing will be accomplished by merging the corporation into a Delaware subsidiary which has been formed for such purpose. The merger is being effected in reliance on the provisions of section 607.1104, Florida statutes, thus, no stockholder approval is required. Because the corporation is the sole stockholder of the Delaware subsidiary and fully consents to the proposed merger, the proposed reorganization will not result in any stockholders' dissenters rights under section 607.1301 through 607.1320, Florida statutes.
 Ringside has acquired a transfer of patent and trademark rights on a product to combat fire ants.
 Construction of a permanent facility is due to start in the near future. In the interim Ringside has obtained an agreement with a Houston based company to manufacture the product. Delivery of product is expected in early 3rd quarter under the trademark "Rapid Kill."
