    RESEARCH FRONTIERS FILES REGISTRATION STATEMENT WITH SEC
    WOODBURY, N.Y., Nov. 5 /PRNewswire/ -- Research Frontiers Incorporated (NASDAQ: REFR; Boston: RFR) announced today that it has filed with the Securities and Exchange Commission a registration statement relating to an underwritten public offering of units of the company's securities.  Each unit will consist of one share of common stock and one warrant to purchase one share of common stock.  The managing underwriter of the offering is Paulson Investment Company, Inc., Portland, Ore.
    The exact number of units to be offered and their initial public offering price have not been finally determined.  The initial public offering price of the units is anticipated to be at or near the market price of the company's common stock on the trading day immediately preceding the date the registration statement is declared effective. The company plans to use the proceeds of the offering, which is anticipated will be approximately $5,000,000, to fund its continuing research and development regarding light valves and for other working capital purposes.
    Pursuant to existing contractual obligations, the company is registering up to a maximum of 68,591 shares of common stock for sale by certain stockholders of the company, none of whom are officers or directors of the company.
    Research Frontiers Incorporated is exclusively engaged in research and development efforts regarding light valves -- electrically operated light control devices using particle suspensions.
    A registration statement relating to these securities has been filed with the securities and exchange commission but has not yet become effective.  These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
