 REHABCARE BOARD BELIEVES CONTINENTAL MEDICAL
 PROPOSAL IS INADEQUATE
 ST. LOUIS, Oct. 15 /PRNewswire/ -- James M. Usdan, President and Chief Executive Officer of RehabCare Corporation, (NASDAQ-NMS: RHBC) announced today, "At its regularly scheduled meeting, the Board of Directors discussed the unsolicited proposal, dated Oct. 8, 1992, submitted by Continental Medical Systems, Inc. The Board of Directors believes that Continental's suggested price of $11.25 is inadequate and not in the best interests of our shareholders".
 RehabCare, based in St. Louis, is a leading provider of inpatient and outpatient physical medicine and rehabilitation program services on a contract basis in conjunction with acute-care and extended-care facilities throughout the United States.
