REGAL COMMUNICATIONS ISSUES ANNOUNCEMENT

 FORT WASHINGTON, Pa., Jan. 5 /PRNewswire/ -- Regal Communications Corporation (NASDAQ: RCOM) announced today that it entered into a letter of intent to purchase Joan Rivers Products, Inc. and Melissasmom, Inc., a related company (together known as "Rivers Company"), in a transaction to be structured as a merger under which Regal will issue 2.7 million shares of its unregistered common stock.
 For its fiscal year ended Dec. 31, 1991, on an unaudited basis, Rivers Company reported sales of approximately $9.2 million and pre-tax income (before the payment of royalties to Ms. Joan Rivers) of approximately $3,170,000. No royalties will be paid to Ms. Rivers for the first two years following the merger. Thereafter, Ms. Rivers will be entitled to receive a royalty of 12-1/2 percent of the net sales of certain products endorsed by Ms. Rivers.
 Under the merger, Regal will succeed to the exclusive rights for a 10-year period to use the name and likeness of Joan Rivers in connection with the creation, design, promotion and sale of cosmetics, skin care and toiletry products, wearing apparel, jewelry products, perfume and the rights to sell various Joan Rivers endorsed products on the QVC Network and to a joint venture arrangement with QVC Network and Tribune Entertainment, Inc. and also the rights to all 800 and 900 number informational and entertainment programs to be developed by Ms. Rivers in conjunction with Rivers Company. Under this license agreement, Ms. Rivers will serve as a spokesperson for Regal products and services.
 Arthur L. Toll, chairman and chief executive officer of Regal, noted, "We are extremely excited by the opportunities presented by this acquisition. Joan Rivers is one of the most prominent and highly recognizable personalities before the public today, as well as a proven marketing executive. Regal has in place the ability to further grow Rivers Company through the development of new products and increasing the sales of existing, successful Joan Rivers product lines."
 Joan Rivers, whose Tribune Entertainment Inc.'s syndicated daily television show, "The Joan Rivers Show," appears in more than 120 markets nationwide and whose weekly show "Gossip Gossip Gossip!" appears on the USA television network, stated, "This merger will be very advantageous as it will give us better control on our production and allow our company to grow utilizing Regal's television and retail resources. I look forward to my continued relationship with QVC and feel that this new venture with Regal will be a big plus for QVC shoppers as it will give us more control over the quality of Joan Rivers' products."
 The five current officers and employees of Rivers Company will continue with the Rivers Company in their current capacities. Ms. Rivers will enter into an employment agreement with Regal and will be elected executive vice president of Regal.
 The foregoing transaction is subject to a due diligence review by Regal Communications and Joan Rivers Products.
 Regal Communications, through its wholly owned subsidiary, Regal Group, Inc., is a major producer and distributor of infomercials, 30-minute direct response television marketing programs. Regal also develops and markets information and entertainment programs for the pay- per-call consumer market known as Audiotex.
