RAMTEK COMPLETES MERGER WITH MASS MICROSYSTEMS

 SAN JOSE, Calif., May 4 /PRNewswire/ -- Ramtek Corp. (NASDAQ: RMTK) today announced the completion of its merger with Mass Microsystems Inc. in which Mass Microsystems became a wholly owned subsidiary of Ramtek. In addition, Ramtek effected, prior to the merger, a three-for-one reverse stock split of its common stock. Ramtek is publicly traded over the counter and quoted on NASDAQ under the symbol "RMTK."
 Approximately two million shares (post-split) of Ramtek Corp. stock were issued in exchange for all outstanding shares of Mass Microsystems common stock. Ramtek had approximately two million shares (post-split) outstanding immediately prior to the merger. The merger was effected as a tax-free reorganization and accounted for as a pooling of interests.

 Mass Microsystems Inc. designs, manufactures and markets computer peripherals worldwide for the Apple Macintosh family of personal computers. Mass Microsystems' products include award-winning mass storage subsystems, a broad line of communications products and selected desktop video solutions.
