RAMTEK AND MASS MICROSYSTEMS ANNOUNCE MERGER

 SAN JOSE, Calif., Dec. 18 /PRNewswire/ -- Ramtek Corp. (NASDAQ: RMTK) and Mass Microsystems Inc. (NASDAQ: MMIC) today announced that they have signed a definitive agreement for the merger of the two companies in which Mass Microsystems will become a wholly owned subsidiary of Ramtek. Both companies are publicly traded over the counter on NASDAQ under the symbols "RMTK" and "MMIC."
 A total of approximately 6 million shares of Ramtek common stock will be issued in exchange for all outstanding shares of Mass Microsystems common stock. Ramtek has approximately 6 million shares outstanding. The merger is intended to be a tax-free reorganization and to be accounted for as a pooling of interests. The merger is subject to approval by the shareholders of Mass Microsystems and the stockholders of Ramtek and other customary closing conditions. The parties do not anticipate closing the merger until late in the quarter ending March 31, 1993.

"We are excited about the possibilities for the two companies and believe that the merger will allow us to complement and expand the MegaTape back-up tape storage systems division of Ramtek which we acquired last summer."
 Carl Pompei, Mass Microsystems' chairman and chief executive officer, comments, "We believe the merger will give us an opportunity to target new markets beyond Macintosh for our products and will enhance our position in the high performance storage market. We are very enthusiastic about the numerous areas of synergy we believe exist between the two companies."
 Ramtek Corp., founded in 1971 and headquartered in San Jose, designs and manufactures image processing systems and graphic display systems for markets such as remote sensing, reconnaissance and surveillance, natural resource management, environmental studies, geographical sciences, command and control, forensic science and medical imaging. Additionally, through MegaTape Corp., Ramtek is an integrator of packaged tape backup storage subsystems for mainframe computers.
 Mass Microsystems Inc. designs, manufactures and markets computer peripherals worldwide for the Apple Macintosh family of personal computers. Mass Microsystems produces award-winning mass storage subsystems, including high-performance hard disks, disk arrays, optical drives and removable media devices.
