Quebecor Printing announced major USA expansion.

MONTREAL--(BUSINESS WIRE)--Oct. 9, 1996--Quebecor (ME, TSE:IQI.) (NYSE:PRW.) Quebecor Printing Inc. announced today that it has reached an agreement in principle to acquire 100 percent of the shares of AmerSig Graphics, Inc. for a sum of US $55 million plus assumption of debt.

The transaction is subject to a satisfactory completion of due diligence reviews, approval by the respective boards of directors of the purchaser and the sellers, the execution of a definitive agreement and compliance with all regulatory requirements (including the Hart-Scott-Rodino Antitrust Improvements Act of 1976). The transaction is expected to be completed on or before November 30, 1996.

American Signature specializes in the production of catalogues and magazines and has four plants located in Atlanta, Georgia, Lincoln, Nebraska, Dallas, Texas and Olive Branch, Mississipi and a list services center in Atlanta. The four new manufacturing plants will be integrated into the existing network of forty-four Quebecor Printing facilities in the USA, thus allowing significant synergies that will benefit the Company's shareholders. The company has revenues of approximately US $230 million and employs approximately 1,600 people.

The acquisition of American Signature will virtually double the amount of state-of-the-art short cut-off high speed presses and a high speed selective bindery equipment available to serve our customers".
