 QUEBECOR PRINTING INC. ACQUIRES NADCO, SIGNS CONTRACT TO PRINT
 FOR CANADA'S LARGEST DIRECTORY PRINTER
 MONTREAL, July 3 /PRNewswire/ -- Quebecor Printing Inc. announced today that its wholly-owned U.S. subsidiary has purchased, for US$40.5 million, Nadco Directory Management Corporation (NADCO). NADCO is a U.S. directory printer which had annual revenues of approximately US$65 million in 1991. The company is a leading supplier of directories to companies based in the mid-Atlantic states, such as Bell Atlantic Corporation, R.H. Donnelley, a subsidiary of Dun & Bradstreet, as well as many other independent directory publishers.
 ''The acquisition of NADCO expands our North American position in the directory printing market and gives us a strong presence in the U.S. market,'' said Charles G. Cavell, President and Chief Operating Officer of Quebecor Printing Inc. in announcing the purchase. ''Quebecor Printing is the leading directory printer in Canada and with this acquisition, we become the second largest independent supplier to this market in North America. Through this expansion of facilities and clients, we will have the ability to realize a significant increase in our average asset utilization which will strengthen the profit contribution for this sector.''
 Quebecor Printing is acquiring 100 percent of NADCO from BCE Telecom International Inc., which is a wholly-owned subsidiary of BCE Inc. of Montreal. At the same time, Quebecor Printing and Tele-Direct (Publications) Inc., the Yellow Pages subsidiary of BCE, signed a new five-year contract under which Quebecor Printing will provide virtually all of the printing for Tele-Direct's telephone directories in Canada. The annual volume of this work is estimated at CA$85 million, or approximately CA$425 million over the life of the contract. This transaction reinforces the long-standing business relationship between Quebecor Printing and Tele-Direct.
 Quebecor Printing Inc., a subsidiary of Quebecor Inc., is the largest commercial printer in Canada and the second largest in North America. It operates 56 printing and related services plants in Canada, the United States and Mexico. Quebecor Printing is a leader in web offset, gravure and sheetfed printing for the magazine, retail insert, directory, catalogue, newspaper, book, cheque, banknote and other commercial printing markets.
 Quebecor Printing Inc. shares are listed on the Montreal Exchange and on the Toronto Stock Exchange.
