PROMUS ANNOUNCES EXPIRATION OF EXCHANGE OFFER

 MEMPHIS, Tenn., Aug. 20 /PRNewswire/ -- The Promus Companies Incorporated (NYSE: PRI) today announced the expiration of the exchange offer relating to the 8.75 percent Senior Subordinated Notes due 2000 of its subsidiary, Embassy Suites, Inc. The Company has been informed that all of the $200 million principal amount of Senior Subordinated Notes eligible to participate in the exchange were tendered for exchange.
 Promus is the parent company of four leading brand names in the casino entertainment and hotel industries: Harrah's Casino Hotels, Embassy Suites hotels, Hampton Inn hotels and Homewood Suites hotels.
