PROGRESS SOFTWARE AND IBM ANNOUNCE COOPERATIVE SOFTWARE AGREEMENT

 BEDFORD, Mass., Jan. 26 /PRNewswire/ -- Progress Software Corporation (NASDAQ-NMS: PRGS) and the IBM Corporation (NYSE: IBM) today announced they have entered into a Cooperative Software Marketing Agreement. Under the agreement, the PROGRESS/400 Application Development Environment (ADE) will be marketed by IBM on a non-exclusive basis through its U.S. direct sales force. The agreement supports a closer working relationship between Progress Software and IBM, and further demonstrates Progress Software's commitment to the AS/400 market.
 "This cooperative software marketing agreement is another step toward building a strong, long-term relationship with IBM," said John Wark, vice president of marketing for Progress Software. "As organizations continue to adopt the AS/400 as a strategic platform, Progress Software is committed to working closely with IBM to supply users with the tools that allow them to deliver complex applications quickly."
 The PROGRESS/400 ADE allows users to rapidly develop and deploy strategic client/server applications with MS-Windows, OS/2 and RS/6000- AIX clients accessing the native relational database of the AS/400 server.
 According to the agreement, IBM is authorized to present directly or jointly market and take orders for PROGRESS/400. Progress Software will be responsible for terms and conditions, distribution, installation, customer education, support, maintenance, invoicing and acccounts receivable for products sold.
 Progress Software, headquartered in Bedford, Mass., is a leading supplier of application development systems to business, government and industry worldwide.
