PROCTER & GAMBLE ANNOUNCES BOARD CHANGES

 CINCINNATI, March 9 /PRNewswire/ -- The Procter & Gamble Company (NYSE: PG) announced that Theodore F. Brophy, retired chairman, GTE Corporation, is retiring from the Procter & Gamble board of directors effective May 11, 1993. In anticipation of Brophy's retirement, the board has elected Joseph T. Gorman, chairman and chief executive officer of TRW Inc. to fill the remainder of Brophy's board term which expires in 1995.
 P&G Chairman and Chief Executive Edwin L. Artzt said, "Ted Brophy has been a valuable director of the company and has served the shareholders well for nearly ten years. While his presence will be sorely missed, we are pleased to add Joe Gorman whose expertise and international experience will be a valuable addition to our board."
 Gorman, an Indiana native, holds a B.A. degree from Kent State University and a J.D. from Yale Law School. He joined TRW's legal department in 1968 and became secretary of the company in 1970. Gorman served as vice president and general counsel from 1972 until 1980 when he was elected executive vice president for TRW's industrial & energy sector. He was elected a director of the company in 1984; president and chief operating officer in 1985; and chairman and chief executive officer in 1988.
 In addition to his duties at TRW, Gorman is a director of the Aluminum Company of America and serves on the advisory board of BP America Inc. He is chairman of the U.S.-Japan Business Council; The Business Roundtable's Education Task Force; the government's Industry Policy Advisory Committee for Trade Policy Matters; and the Defense Industry Initiative Steering Committee. He is one of three U.S. appointees to the Japan Import Board; a trustee of the Committee for Economic Development; and a member of the board of overseers for the Amos Tuck School of Business Administration at Dartmouth College.
