PRESBYTERIAN AND ORTHOPAEDIC HOSPITALS AGREE TO FORM PARTNERSHIP

 CHARLOTTE, N.C., Feb. 10 /PRNewswire/ -- Officials from Presbyterian Hospital and Orthopaedic Hospital of Charlotte have signed a preorganization agreement that provides for the two facilities to form a general partnership for the purpose of owning Orthopaedic Hospital. Under the agreement, each partner will own 50 percent of Orthopaedic Hospital, and each partner will appoint an equal number of members to the 166-bed hospital's board of directors.
 According to the agreement, 642-bed Presbyterian Hospital will contribute its existing orthopedic business, orthopedic-related equipment and supplies and cash to the partnership. Orthopaedic Hospital of Charlotte, an affiliate of HealthTrust, Inc. (NYSE: HTI), will contribute the hospital, its land and other assets to the partnership.
 HealthTrust, Inc. will continue to manage the facility on a day-to-day basis, and Richard Salerno will continue to serve as the hospital's chief executive officer.
 The transaction is expected to close Feb. 28, 1993, following all necessary regulatory approvals. Upon completion of the transaction, all orthopedic services will be consolidated at Orthopaedic Hospital and Orthopaedic's name will be changed to Presbyterian-Orthopaedic Hospital. Future plans include consolidating all emergency services at Presbyterian Hospital and introducing new programs such as pediatric orthopedics and rehabilitation services.
 According to Presbyterian President and CEO Paul Betzold, the partnership will benefit patients in several ways. "Combining our skills in orthopedic care will allow us to eliminate the costs associated with duplicate services and equipment," said Betzold. "Patients will have access to highly-trained staff who perform a higher volume of orthopedic procedures, and will benefit from the wider range of support services available to them through the closer affiliation with Presbyterian."
 Salerno, CEO of Orthopaedic Hospital, said the Presbyterian- Orthopaedic collaboration is an important step in building an orthopedic center of excellence for the area. "This relationship will allow us to improve efficiency with higher volume while improving patient care. The health care industry is committed to both of those goals, and this partnership is an important step in that direction. It will allow us to operate more cost-effectively and will enhance our position in a highly- competitive market. I believe more facilities will begin to see the wisdom of these types of relationships."
 Presbyterian Hospital is owned by Presbyterian Health Services Corp., which also owns 68-bed Presbyterian Specialty Hospital and is developing a 102-bed hospital in Matthews, N.C.
 Nashville, Tennessee-based HealthTrust, Inc., which owns Orthopaedic Hospital of Charlotte, is one of the largest health care providers in the United States. It provides a variety of acute and other health care services for 81 markets in 21 southern and western states.
