PRAXAIR COMPLETES FORMATION OF BOARD OF DIRECTORS

 DANBURY, Conn., Jan. 20 /PRNewswire/ -- Praxair, Inc. (NYSE: PX) today announced the election of two new members to its board of directors: General Electric Vice President Dale F. Frey and Argentine executive Alejandro Achaval. The election of Mr. Frey and Mr. Achaval completes the formation of Praxair's board, bringing to 12 the total number of members, nine of them outside directors.
 Mr. Frey, 60, is vice president and treasurer of General Electric Company, as well as chairman of the board and president of General Electric Investment Corporation (GEIC).
 After joining General Electric's financial staff in 1957, Mr. Frey held a series of financial management positions in the company's aerospace and defense, aircraft engine, and power delivery businesses before being named staff executive of international finance operations in 1975. In 1980 he became vice president and treasurer, and was appointed chairman and president of GEIC in 1984.

 Mr. Frey also is a member of the boards of General Electric Financial Services, Inc., Kingsway Managers Holdings Limited, and USF&G Corporation. He is active on committees of the Financial Executives Institute, the New York State Common Retirement Fund, and the NYSE Pension Managers. A director of the Damon Runyon-Walter Winchell Cancer Research Fund, he also serves as a trustee of Franklin & Marshall College, and on the advisory committee of Warburg Pincus.
 Mr. Frey earned a bachelor of science degree in economics from Franklin & Marshall College, and a master's degree in business administration from New York University.
 Mr. Achaval, 59, is vice chairman and chief executive officer of IPAKO Industrias Petroquimicas Argentinas S.A., a chemicals and plastics company based in Buenos Aires. He also is a director of S.A. Garovaglio & Zorraquin, the holding company that controls IPAKO and three other industrial concerns in Argentina. S.A. Garovaglio & Zorraquin and IPAKO are listed on the Buenos Aires Stock Exchange.
 "Mr. Achaval's knowledge of and experience in international markets, particularly South American markets, will be invaluable to us as we explore new business opportunities in the region," noted Lichtenberger. Praxair has well-established businesses in Mexico and Brazil, and in June 1992 purchased controlling interest in Fracchia Hermanos S.A., a leading Argentine independent industrial gases company.
 Mr. Achaval is vice chairman of the Argentine Chamber of Exports and of the Chamber of Chemical and Petrochemical Industries, as well as a director of the Institute for Management Development in Argentina.
 Educated as an industrial engineer at the University of Buenos Aires, Mr. Achaval began his career in General Electric's steam and gas turbine generation units both in the United States and Argentina. He also served as director and chief operating officer of Fiplasto S.A., a fiber board manufacturer, before joining the S.A. Garovaglio & Zorraquin Group in 1973.
 Praxair is the largest industrial gases supplier in North and South America, and one of the largest worldwide, with 1991 sales of $2.5 billion. The company also is a leading supplier of metallic and ceramic coatings through Praxair Surface Technologies, Inc.
