POWERSOFT CORPORATION TO ACQUIRE SDP, S.A. Addition of S-Designor Data Modeling Tool Extends Powersoft Enterprise Series.

CONCORD, Mass.--(BUSINESS WIRE)--April 24, 1995--Powersoft Corporation announced today the execution of a definitive agreement to acquire SDP, S.A. of Suresnes, France. Powersoft expects to consummate the acquisition in May 1995, subject to customary closing conditions. Under terms of the agreement, SDP will become a wholly owned subsidiary of Powersoft. SDP president Serge Levy will report to David Litwack, president of Powersoft. The purchase price will be paid in cash and the transaction will be accounted for as a purchase. Further financial details were not disclosed.

SDP develops and markets S-Designor data modeling tools that empower users to design, maintain and reverse-engineer more than 40 databases, and integrate with major client/server 4GL tools. The addition of S-Designor to the PowerBuilder family of client/server application tools and services gives PowerBuilder users immediate, easy access to data modeling, a key component of the application development life cycle.

Powersoft plans to announce details of its long-range plans for tighter integration of the S-Designor technology at the Powersoft International User Meeting and Training Conference in June 1995.

The S-Designor Solution

S-Designor enables the user to conduct an efficient database design analysis in a fully integrated, two-step process, from the description of the business information structure into the complete definition of a database design. It also offers a fully integrated interface with the major client/server development tools, including PowerBuilder, SQLWindows, Progress, Omnis and Uniface.

S-Designor users start by creating a conceptual data model, from which the product generates a normalized physical data model describing tables and references. Once the physical model is complete, S-Designor creates the structure, such as tables, indexes and triggers (where supported) for more than 40 database systems, including Access, DB2, Informix, Watcom, Oracle, Paradox, RDB, Microsoft SQL Server and SYBASE System 10. S-Designor also enables the user to reverse-engineer an existing database, to ease maintenance of existing applications.

S-Designor is available in two major upward-compatible versions:

o S-Designor Professional -- for single users designing complex

systems with several interrelated applications or modules.

o S-Designor Corporate -- adds a central data dictionary for team

development of large projects.

Pricing and Availability(a)

Initially, S-Designor Professional will be bundled with PowerBuilder at an introductory price. The PowerBuilder Enterprise 4.0 for Windows/S-Designor Professional bundle is available immediately from Powersoft and its worldwide network of resellers and distributors for $5,495. Purchased separately, PowerBuilder Enterprise 4.0 for Windows is currently priced at $3,295, and S-Designor Professional currently has a list price of $2,995. The S-Designor Corporate edition currently retails for $3,495.
