POLAROID ANNOUNCES BOARD CHANGES

 POLAROID ANNOUNCES BOARD CHANGES
CAMBRIDGE, Mass., Nov. 6 /PRNewswire/ -- Polaroid Corporation

(NYSE: PRD) announced today that James D. Mahoney, a non-officer employee of the company, has been nominated by the company's board of directors to stand for election to the board at Polaroid's annual meeting next May. Marian J. Stanley, who is corporate program manager at Polaroid and has been a director of the company since 1989, will not stand for re-election to the board at that time.
Separately, the company said that A. Michael Spence, dean of the Graduate School of Business at Stanford University in Palo Alto, Calif., has resigned from the company's board of directors, and that the board has voted to reduce the number of members of the board of directors, from 15 to 14.
Mahoney, who is a senior manager in Polaroid's camera facility in Norwood, Mass., joined the company as an hourly employee 27 years ago. He has been active in the manufacturing team-building process, and has been instrumental in implementing literacy training programs for a multi-cultural work force at Polaroid.
Mahoney is a member of the Association for Manufacturing Excellence, and collaborates with members of M.I.T.'s leaders in the Manufacturing Program. He holds a B.S. degree in business from Roger Williams College and an M.S. degree in training from Lesley College.
Said I. MacAllister Booth, chairman, president and chief executive officer of Polaroid, "We congratulate Jim on his nomination to the board and look forward to his contributions. At the same time we are very grateful to Marian for her dedication and service to the corporation in this role."
Dr. Spence, who joined the Polaroid board in 1986 while he was dean of faculty of arts and sciences at Harvard University, expressed regret at his decision to resign. "I have greatly enjoyed the opportunity to participate in and contribute to the affairs of Polaroid, but my commitments at this stage in my career have forced me to focus more closely on my responsibilities at Stanford and on the West Coast."
Booth added, "Mike's commitment and insights over the years have been tremendously helpful to the corporation, and all the board members join me in wishing him the best in the future."
