PLM INTERNATIONAL TO ADVANCE ITS FORMER CHAIRMAN'S
 LEGAL FEES, COURT ORDERS
SAN FRANCISCO, March 19 /PRNewswire/ -- Samuel A. "Chip" Megeath, III, and LEF&C Partners today announced that:
The Superior Court of the State of California for the County of San Francisco entered its order yesterday granting summary judgment and an injunction in favor of Mr. Megeath and LEF&C Partners making mandatory the advancement by San Francisco based PLM (AMEX: PLM) of Megeath's and LEF&C's attorneys' fees and other legal expenses incurred in connection with all the litigation presently pending between the parties. PLM must advance legal fees for both Megeath and LEF&C to prosecute their fifty-seven remaining claims, as well as to defend against various claims made by PLM. Mr. Megeath was Chairman of the Board of Directors of PLM from October 1988 to August 1990. LEF&C Partners is an investment partnership of which Mr. Megeath is the Managing General Partner.
Recently, Mr. Megeath and LEF&C won a summary judgment on sixteen Causes of Action, including an injunction, making mandatory the advancement by PLM to Mr. Megeath and LEF&C Partners their legal fees and expenses, as incurred, for prosecuting their Complaint and Cross- Complaint against PLM and for defending against a Cross-Complaint instituted against them by PLM. The Court's Order for such summary judgment and injunction was entered on March 18, 1992. The ultimate entitlement of Mr. Megeath and LEF&C to indemnification is to be determined at trial.
The original Complaint in this action was instituted by Mr. Megeath and LEF&C in March 1991, and alleges forty-eight Causes of Action for, among other things, breach of contract, wrongful discharge in violation of public policy and defamation. The Complaint also alleges claims for injunctive relief brought on behalf of the general public to prevent PLM and certain of its affiliates, including PLM Equipment Growth Funds I-VI, from continuing to violate securities laws, numerous other laws and public policies. PLM has denied the substance of the allegations in the Complaint and sought to demurrer to forty-one Causes of Action in the Complaint. All of the Causes of Action in the Complaint were upheld against PLM"s demurrers by a Court Order issued in September 1991, including Mr. Megeath's and LEF&C's claims for injunctive relief against PLM for violations of the California Unfair Business Practices Act.
Mr. Megeath and LEF&C filed a Cross-Complaint against PLM in September 1991, which alleges an additional 25 Causes of Action against PLM and certain of its affiliates. The Court Order grants Mr. Megeath and LEF&C summary judgment on 16 of the Causes of Action alleged in their Cross-Complaint and grants injunctive relief, thereby requiring PLM to advance Mr. Megeath and LEF&C their attorneys' fees and other legal expenses, as incurred, in connection with the pending litigation.
PLM and certain of its affiliates filed a Cross-Complaint against Mr. Megeath and LEF&C in August 1991 alleging nine Causes of Action against them. Mr. Megeath and LEF&C have denied all substantive allegations in this Cross-Complaint.
The Complaint and Cross-Complaint of Mr. Megeath and LEF&C, and the Cross-Complaint of PLM, are all pending before the Superior Court of the State of California for the County of San Francisco, Case No. 930369.
