PLATINUM TO ACQUIRE VIATECH DEVELOPMENT; Company continues its aggressive move into open enterprise systems management with addition of software deployment tool.

OAKBROOK TERRACE, Ill.--(BUSINESS WIRE)--February 10, 1995-- Continuing its aggressive move into Open Enterprise Systems Management (OESM), PLATINUM technology, Inc., (NASDAQ: PLAT) today announced that it intends to acquire ViaTech Development, Inc., of Bloomington, Minn. Privately held ViaTech is a recognized leader in providing electronic software distribution tools in open, UNIX(a)-based client/server environments. The acquisition is another step toward PLATINUM's goal to provide comprehensive, integrated management solutions for the Open Enterprise Environment (OEE) -- the networked computing environment that includes open systems and enterprise mainframe systems.

When this acquisition is complete, ViaTech Development will recome a wholly owned subsidiary of PLATINUM Technology, Inc. Terms of the agreement were not disclosed.

ViaTech currently offers Xfer Software Transfer, a tool that distributes software electronically, collects data and executes system administration functions in a TCP/IP network. Xfer supports each phase of software deployment, including configuration, packaging, scheduling and monitoring. The tool is capable of distributing software to UNIX, Windows, DOS(a), and OS/2(a) platforms and supports common network management platforms, including NetView(a), OpenView(a), and SunNet Manager(a).

PLATINUM's Acquisition Strategy

The acquisition of ViaTech is an integral component of PLATINUM's open enterprise systems management (OESM) strategy. OESM ties together critical management functions of both MVS and "open" client/server systems. PLATINUM will help information systems executives manage their open enterprise environments by linking the data management, network management, job management, production management, database administration, back-up and recovery, security, program management and transaction management functions.

Recently, the company acquired AutoSystems Corporation, an enterprise job management tool supplier. In 1994, PLATINUM introduced or acquired several client/server database and systems management tools and continued to expand its full line of DB2(a) tools and utilities. Already the leader in the market for relational database management tools, PLATINUM now offers a comprehensive line of products to help corporations manage their Open Enterprise Environment (OEE) -- the complete information systems environment comprising PCs, workstations, mainframe computers and client/server networks.

PLATINUM's OESM plans call for continued internal development of a host of new products for multiple computing platforms. PLATINUM also plans to form other alliances to help further broaden its range of OESM solutions.

For accounting purposes, the transaction will be handled under the purchase method. PLATINUM technology anticipates allocating a significant portion of the purchase price to acquired in-process technology, resulting in a charge to the Company's operations in the first quarter of 1995.
