PENRIL ACQUIRES DATABILITY

GAITHERSBURG, Md., May 7 /PRNewswire/ -- Penril DataComm Networks Inc. (NASDAQ-NMS: PNRL) has acquired privately held Datability, Inc., Carlstadt, N.J., in a tax-free reorganization involving the issuance of approximately 1 million Penril shares, and the assumption of certain Datability debts, the two companies announced today.
Datability, with annual sales of $22 million, is an international networking pioneer with a well-deserved reputation for innovation in advanced network interoperability and multiple connectivity. Its product line includes multiprotocol LAN interconnect products, terminal and communications servers, as well as SNA and X.25 gateways.
Henry Epstein, Penril's chairman, commented: "Datability's LAN product line is an exceptional complement to Penril DataComm Division's high-speed bridges and routers. The addition of Datability's New Jersey and Massachusetts technical staffs gives us a significant resource in the internetworking marketplace."
Under Division President Dave Johnson, Penril has grown to be a leading global supplier of wide-area network data communication products, including the VCX networking multiplexer family Series 1544 T1 channel banks, high-speed modems, and network management platforms. In 1991, Penril won the U.S. Senate Award for Productivity in Maryland.
Datability founder and President Ron Howard stated: "We are absolutely delighted with this new association. Penril's world-wide distribution, automated manufacturing facilities, and commitment to quality will be a boon to Datability's customers. The combined research and development capabilities of the new Penril will result in stronger products targeted at the fastest growing data communications market segment: internetworking. I look forward to becoming a member of Penril's management team."
