PC DOCS Group International Announces Deal With Gordon Capital.

TORONTO, Ontario--(BUSINESS WIRE)--Feb. 10, 1995--PC DOCS GROUP International Inc. (NASDAQ: DOCSF; TSE: DXX) announced today that it has entered into a bought deal with Gordon Capital Corporation of Toronto, as lead underwriter, under which Gordon Capital Corporation will purchase on a private placement basis 2,250,000 special warrants at a price of $4.60 (Cdn.) for gross proceeds of $10,350,000 (Cdn.).

This private placement is subject to regulatory approval. The special warrant transaction is scheduled to close on February 23, 1995.

Each special warrant will entitle the holder to acquire, at no additional cost, one common share of the Company. The underwriters have also agreed to purchase up to 200,000 common shares from certain existing shareholders as part of the special warrant transaction.

The net proceeds from the private placement will be used to fund the rapid growth that PC DOCS Group International and its subsidiaries, Quartex, CMS/Data Corp., PC DOCS Inc., CompInfo, Inc. and Canterbury Systems Corp. are currently experiencing.

PC DOCS recently announced record sales and profits for the six months ended December 31, 1994.

PC DOCS market leading document management software, PC DOCS OPEN, has won numerous awards including three consecutive PC Magazine Editor's Choice Awards.
