PACIFIC TELECOM, CABLE & WIRELESS TERMINATE MERGER AGREEMENT

PACIFIC TELECOM, CABLE & WIRELESS TERMINATE MERGER AGREEMENT
VANCOUVER, Wash., Nov. 29 /PRNewswire/ -- Pacific Telecom Inc., (NASDAQ: PTCM) announced today that the agreement pursuant to which Cable and Wireless (C&W) would acquire TRT/FTC Communications Inc. has been terminated by mutual agreement of the parties.
C&W agreed in January to acquire TRT/FTC, a U.S. domestic and international carrier, subject to regulatory approvals and certain other conditions to closing. The agreement required regulatory approval of segregation of various radio licenses and facilities now owned and operated by TRT/FTC. The necessary approvals have not all been obtained and certain closing conditions contained in the agreement have not be satisfied.
Theodore D. Berns, president and chief operating officer of Pacific Telecom, said "We are disappointed that the transaction was not able to be closed, and we are evaluating our options related to TRT/FTC, including possible strategic alliances to enhance the value of the business." Berns emphasized, "We will continue to fully support TRT/FTC's operations. Despite the negative impact on the company of the economic recession and the delay caused by the failure to receive regulatory approvals, we are confident that the company can resume progress toward meeting its strategic objectives, including the expansion of TRT/FTC's voice, data and messaging business."
Pacific Telecom is a Pacificorp (NYSE: PPW) company.
